The foundation Dybbøl Banke
Purpose and status
The foundation Dybbøl Banke runs the self-governed institution History Centre Dybbøl Banke and was founded on 7 June 1989 by the county Southern Jutland, the Sønderborg municipality and the now liquidating cooperative society Hotel Dybbøl Banke.
The foundation’s purpose is to build, furnish, run and maintain a history centre on the Dybbøl Hill according to § 4 of the statute. Furthermore, guests should get an overview about the landscape and national historical events, and service needs to be provided.
§ 7 implies that the History Centre’s operation and maintenance can be covered by the entrance revenue, services, sales etc. including gifts.
Since 2004 the Museum Sønderborg Castle takes care of the History Centre’s daily operation. The History Centre is still in possession of the foundation. The foundation is responsible for the construction of the redoubt system 2003-2007, the state-aided pedagogical imparting of knowledge and the nature tours around Dybbøl Banke.
Statute
§ 1 The name of the Foundation is Foundation Dybbøl Banke (Fonden Dybbøl Banke).
§ 2 The Foundation’s founders are the cooperative society Hotel Dybbøl Banke, the Southern Jutland county council and the Sønderborg city council.
§ 3 The Foundation’s registered office is: Historiecenter Dybbøl Banke, Dybbøl Banke 16, 6400 Sønderborg in the Sønderborg county.
§ 4 The Foundation’s purpose is:
- To build, furnish, run and maintain a history centre with the Matr. Nr. 173 Dybbøl whose property the Department of Environment provided cost-free. A copy of the file with the finance committee’s starting certification from 13 September 1988 is enclosed.
- To equip the guests with impressions of the landscape and national historical events.
- To make sure that there is a possibility for guest service in the History Centre.
§ 5 The operation of the History Centre can be handed over to another history transferring institution upon written consultation.
§ 6 The Foundation’s capital stock (300 000 Danish kroner) was transferred by the cooperative society Dybbøl Banke to the account 4610 4610 111 432 (Handelsbank, Aabenraa) on 7 June 1989. The interests can be used to achieve the foundation’s purposes.
§ 7 TThe Aage V. Jensens Foundation donated 22 955 000 Danish kroner, thereof 755 000 Danish kroner were used for an architectural competition. The donation should be mentioned in information which were formulated, published and handed over to customers by the Foundation Dybbøl Banke.
§ 8 The operation and the maintenance of the History Centre and the belonging parts are expected to be covered by public and private grants as well as entrance revenues, revenues of the museum shop etc.
§ 9 A potential profit can only be used for the purposes named under § 4.
§ 10 It is not up to the Foundation to attribute special rights or advantages.
§ 11 The Foundation is led by a board which consists of five to nine members. This consists of:
- 2 members chosen by the Sønderborg municipality
- 1 member chosen by Museum Sønderjylland
- 1 member chosen by Den Selvejende Institution Dybbøl Mølle (DSI Dybbøl Mølle)
- 1 member chosen by the union of history and social science teachers (FALIHOS).
The board can choose up to four members with special interest for the History Centre and the landscape around Dybbøl.
The authority which is liable for the public areas of Dybbøl Banke has the right to pick an observer who participates in board meetings.
The board’s members are elected for four years. The members who are not chosen by the board are elected for the same period as the period in the municipality. On the contrary, the period for the members which are chosen by the board shifts for two years. The first period for the members which are not elected by the board is 2007 to 2009. The next period for the members elected by the board is 2008 to 2011.
The chairman is elected by the board.
The chairman’s vote decides if there are tie votes.
The board might determine the agenda. If so, it needs to cover the following regulations:
- Election of chairman and deputy chairman
- Approval of budget and accounts
- Employment and dismissal competence
- Determination of the number of annual board meetings
- Authority to issue orders
- Votes
The board members do not receive compensation.
§ 12 To obligate the Foundation the signature of the chairman is needed. If he is absent, the signature of the co-chairman is valid. Arrangements about constant property need a previous vote with a 2/3 majority of the board’s members.
§ 13 The financial year is the same as the civil year. The board is responsible for decisions about the exercise of accountancy.
§ 14 The accountancy need to be reviewed by an officially authorized auditor.
§ 15 Changes of the statute or the Foundation’s dissolution need a 2/3 majority of the board’s members as well as confirmation by the Sønderborg municipality and the Museum SØnderjylland. Furthermore, changes of § 7 also need approval by the Aage V. Jensens Foundation.
§ 16 If there is a dissolution of the foundation, the municipality Sønderborg, the Museum Sønderjylland and Aage V. Jensens Foundation need to discuss how the purposes of the Foundation can be achieved further on. This also includes the discussion about how to deal with the Foundation’s values.
§ 17 The above-noted resolutions became effective on 1 January 2007 and replace the resolutions of 3 December 1991 including the change on 15 September 2003.
In this manner decided on the board meeting on 14 November 2006.
